
本協(xié)議所稱"商業(yè)秘密"是指所有信息,不論其形式如何,只要涉及到"甲方"未曾發(fā)表/公開或公眾可隨時得到的技術(shù)、財務(wù)或商業(yè)資訊,諸如但不止于客戶名單及名片,在接觸的潛在客戶名單,電話記錄名單,價格資料,價格和報價方法信息,制造技術(shù),涉及銷售額及利潤的信息,產(chǎn)品開發(fā)技術(shù)及開發(fā)計劃,"甲方"的商業(yè)策略,程序,市場策略,以及涉及"甲方"客戶的信息。

1.乙方保證并確認(rèn):已于甲方依法解除了勞動合同,并不存在任何勞動糾葛或勞動人事爭議,經(jīng)濟(jì)糾紛等。 2.乙方不得將甲方公司的商業(yè)機(jī)密透露給第三方。 3.不得與他人串通為謀取利益而使甲方遭受損失。

雙方本著平等自愿的原則,經(jīng)協(xié)商一致簽訂本合同并共同遵照執(zhí)行。一、乙方自愿接受甲方聘用,擔(dān)任甲方的兼職翻譯員,并根據(jù)甲方需要不定期參加筆譯工作。二、乙方擔(dān)任甲方兼職譯員的主要職責(zé)如下:1.熟練掌握筆譯的有關(guān)理論,方法和技巧,以保證翻譯工作的質(zhì)量。2.乙方一經(jīng)要求接受某一工作后,則務(wù)必貫穿工作的始終,并在保證質(zhì)量的前提下,按時完成任務(wù)。3.乙方保證翻譯工作的正常進(jìn)行,若確因乙方有不可抗拒的因素而無法繼續(xù)該項目的翻譯工作時,需提前通知甲方并提出足夠理由及相關(guān)證明,甲方酌情解決。4.對于相關(guān)文稿、專利、版權(quán)、商業(yè)秘密、商標(biāo)及其它知識產(chǎn)權(quán)的翻譯,甲方享有唯一所有權(quán)。乙方無權(quán)以任何形式,包括直接、間接、口頭書面等形式將一切本協(xié)議第一條規(guī)定的保密信息向任何第三方提供、復(fù)制或銷售。乙方及其相關(guān)人員不得使用甲方作為保密內(nèi)容的技術(shù)謀利,也不得出售或贈與這些保密內(nèi)容給任何第三方從事生產(chǎn)或經(jīng)營。若乙方不遵守保密原則,甲方有權(quán)扣除相關(guān)勞務(wù)費并要求乙方賠償甲方的相關(guān)經(jīng)濟(jì)損失,同時乙方立即除名作為懲罰。
